The demands on Liechtenstein's financial centre are constantly increasing and there is a growing demand for flexibility as well as legal certainty regarding the apportionment of liability in company law. With these considerations in mind, the model of the protected cell company has been introduced in Liechtenstein. This takes into account both economic interests and also contains numerous creditor protection provisions, thereby creating a balance of interest.

The concept of segregating the liability of legal entities is by no means new to Liechtenstein law. It was already enshrined in the Investment Company Act prior to the incorporation of the protected cell company into the PGR. Furthermore, segregation is also possible through the formation of (sub) legal entities, trusts and trust companies with divisions. The implementation of the provisions governing protected cell companies is therefore a cautious development of the PGR.

In this Lunch & Learn session, Dr Bernd Hammermann, Head of the Office of Justice, and Mag Heino Helbock, LLM, staff member at the Office of Justice in the field law, will give participants an overview of the new rules for protected cell companies and explain in detail, inter alia, the operation of, design options for, creditor protection and liability issues associated with this new corporate type of legal entity.
