The Liechtenstein legal system is currently subject to major change for many reasons. Complete reforms and extensive amendments of established legislation are already almost commonplace. As part of our "Lunch & Learn" series, we offer you an opportunity to obtain insights into the effects of legal reforms and gain the appropriate tools in order to implement quickly and correctly the new findings into your everyday business life -all in the shortest possible time, during your lunch break.

On 1 January 2017, the latest amendments to Liechtenstein company law entered into force.

The aim of the legislature was to make limited liability companies (GmbH) significantly more attractive overall. In addition to a noticeable reduction in the minimum capital requirements, the core features include the special relief provided to start-ups, the legal option of transferring company shares (Vinkulierung) and related issues concerning the strengthening of the company and interest in its continuation. The legislative modernisation concerning limited liability companies is intended to encourage young entrepreneurs to carry out business activities and to enable a greater number of business ideas to be realised by reducing barriers to access.

Prior to the current reform, the legislation providing the basis for the limited liability company had not actively been reformed since the creation of the Persons and Companies Act in 1926. In comparison to neighbouring countries, in particular in comparison to Germany, Liechtenstein law in this area was therefore considered obsolete. With the exception of the adoption of EEA law, there had been no proactive, creative development of the law concerning limited liability companies for a long time. This situation has now been corrected through the current reform of the law and this legal field has been modernised.

At this Lunch & Learn, Mag. Heino Helbock, LLM, employee in the Judicial Department at the Office of Justice, will give participants a detailed overview of the reform of the legislation concerning limited liability companies in Liechtenstein. As part of the lecture, the option of a simplified formation using model articles of association will be explained and the restrictions placed on the transferability of company shares will be discussed in detail.
