Advisory and structuring practice in company, foundation and trust law requires specific knowledge that goes beyond the boundaries of the Liechtenstein legal system. By imparting national, European and comparative legal knowledge, participants are enabled to provide cross-border advice and to engage with international developments in legal scholarship on an equal footing. From a comparative law perspective, particular focus is placed on the legal systems of neighbouring countries Germany, Austria and Switzerland, as well as the Anglo-American legal system.

Module Overview

The programme offers in-depth study in nine modules of Liechtenstein, European and international company, foundation and trust law as well as related cross-cutting topics. Taking current legal developments into account, the programme provides specialised legal training that covers Liechtenstein-specific features alongside fundamental knowledge of European law and comparative law.

Module 1 – Fundamentals of the Liechtenstein Legal System and Company Law

This module forms the foundation for further knowledge transfer in the LL.M. programme. The initial focus is on the fundamentals of company law and the structuring possibilities of the segmented legal entity. Participants distinguish between legal entities and partnerships without legal personality. They learn about the various legal forms of partnerships (simple partnership, general partnership [offene Gesellschaft], limited partnership) and cooperatives.

 

Subsequently, the legal forms of common corporate entities (GmbH and stock corporation) are presented in detail. Advantages and disadvantages of these company types — each compared with neighbouring legal systems — are also covered. Case studies deepen the learned material and integrate it into practical work.

 

The module concludes with an introduction to European law concerning the legal form of the Societas Europaea and the European Economic Area, as well as their significance for Liechtenstein, particularly considering the European fundamental freedoms and the general prohibition of discrimination.

Programme Overview: Information, Structure and FAQ

Educational Objective

Participants will acquire both foundational and detailed knowledge enabling them to provide legal advice in Liechtenstein and international company, foundation and trust law as well as related cross-cutting topics. In particular, they are intended to become a forward-looking, qualified personnel resource for the business and financial centre of Liechtenstein, while not being dependent on the Liechtenstein location regarding their expertise.

 

Structure and Master’s Thesis

The programme consists of three semesters plus thesis and is modular in design. At the end of each module, there is a module examination that must be passed and can be repeated if necessary. The master’s thesis must be assessed as “passed” by the examiner.

 

The LL.M. programme consists of nine modules, each comprising six days of instruction. Lectures generally take place every four weeks from Thursday to Saturday. Classes are usually held on Thursdays and Fridays from 8.30 a.m. to 5.30 p.m. and on Saturdays from 8.30 a.m. to 4.00 p.m.

 

Thematic Evenings

In addition to the regular curriculum, advanced thematic evenings are offered on current developments in national and international company, foundation and trust law, as well as related cross-cutting topics.

 

Study Trips

Modules 5 and 7 (electives) include study trips to the USA and other selected trust law destinations. The costs of these study trips are not included in the tuition fees, and participation is voluntary. Alternatively, students may choose to take any module from other concurrently offered Executive Master’s programmes in International Taxation, Banking and Financial Market Law or Economic Criminal Law. Furthermore, there is the option to complete a case study within the framework of the “I&F Family Wealth Preservation Awards” in cooperation with the Liechtenstein Industrial and Financial Office Establishment, or to attend courses worth 5 ECTS for topic-specific preparation for the Liechtenstein trust officer examination offered in the certificate and diploma programmes in trust services provided by the Chair.

 

Examinations

Each module consists of two teaching blocks from Thursday to Saturday. At the beginning of a new module, students are generally required to provide proof of achievement for the previous module in the form of examinations or presentations. Modules 1 to 4, 6 and 8 conclude with a written exam. The elective modules involving study trips are completed by writing a paper or giving a presentation. Module 9 (interdisciplinary workshop) concludes with a presentation of a case study followed by a plenary discussion.

 

Free Attendance of Modules from Other Executive Master’s Programmes

Students enrolled in the Executive Master of Laws (LL.M.) in Company, Foundation and Trust Law are entitled to attend selected modules free of charge from other concurrently offered Executive Master’s programmes held at staggered times during the same period.

 

Degree Completion

Participants who have attended at least 75% of the classes, successfully passed all module examinations and had their master’s thesis accepted graduate with the Executive Master of Laws (LL.M.) in Company, Foundation and Trust Law. They are entitled to use the following title: LL.M. or LL.M. (Company, Foundation and Trust Law).

Target Group

The programme is primarily aimed at graduates with a legal background who wish to acquire a comprehensive and application-oriented additional qualification in the field of company, foundation and trust law. There is also the possibility of admission to the programme based on comparable professional or other qualifications.

 

Admission

Admission to the programme is granted to those who meet the admission requirements according to Art. 22 et seq. of the University Regulations:

  • University degree or an equivalent qualification; or
  • Completion of a relevant tertiary-level degree or continuing education corresponding to at least 60 ECTS credits, plus six years of professional experience, of which at least three years must be relevant to the field.

 

Admission is granted on a first-come, first-served basis according to the date of application. Admission “sur dossier” only entitles the candidate to graduate from the specific programme for which admission was granted. Otherwise, approval from the respective programme management is required.

 

Tuition Fees

The tuition fee for the entire programme amounts to CHF 28,500.–. This includes the costs for digital materials and examinations but does not cover travel expenses for the study trip (elective module). Tuition fees are charged in three instalments:

 

  • Semester 1: CHF 10,000.–
  • Semester 2: CHF 10,000.–
  • Semester 3: CHF 8,500.–

 

Tuition fees for attending individual modules or intensive courses can be requested from the programme management.
